Terms of Service

Please read these Terms of Service carefully before using the Vertex Battery Passport platform.

1. Acceptance of Terms

By accessing or using the Vertex Battery Passport platform ("Service"), operated by AUTOVERTEX TECHNOLOGIES LTD (Company No. 16508617), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including businesses and their authorised representatives who access the Service on behalf of a company ("Client").

2. Description of Service

Vertex Battery Passport provides a Software-as-a-Service (SaaS) platform for creating, managing, and sharing Digital Battery Passports in compliance with EU Regulation 2023/1542 (the "Battery Regulation"). The Service includes battery passport creation and management, QR code generation, carbon footprint calculation, supply chain due diligence documentation, state of health tracking, PDF export, audit logging, and API access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised use of your account. You must be at least 18 years old and have the authority to bind your organisation to these Terms. One person or legal entity may not maintain more than one free account.

4. Subscription and Payment

The Service is offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis. All fees are exclusive of VAT and other applicable taxes, which will be added where required by law. Fees are non-refundable except as required by applicable law or as explicitly stated in these Terms. We reserve the right to change subscription fees with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new fees. Overdue payments may result in suspension of access to the Service.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: (a) use the Service in any way that violates applicable law or regulation; (b) transmit false, misleading, or inaccurate battery passport data; (c) attempt to gain unauthorised access to any part of the Service; (d) use the Service to store or transmit malicious code; (e) reverse engineer, decompile, or disassemble any part of the Service; (f) resell or sublicense the Service without our written consent; or (g) use the Service to create a competing product or service.

6. Data Ownership and Licence

You retain ownership of all data you submit to the Service ("Client Data"). By submitting Client Data, you grant us a limited, non-exclusive licence to store, process, and transmit the data solely to provide the Service. We will not sell, share, or use Client Data for any purpose other than providing the Service. You are responsible for ensuring that all battery passport data you submit is accurate, complete, and compliant with applicable regulations. We do not verify the accuracy of data submitted by clients.

7. Regulatory Compliance

The Service is designed to assist with compliance with EU Regulation 2023/1542. However, we do not warrant that use of the Service will ensure full regulatory compliance. You are solely responsible for ensuring that your battery passports meet all applicable regulatory requirements. We recommend that you obtain independent legal and regulatory advice regarding your compliance obligations. Battery Passport data must be submitted in good faith and accurately reflect the properties of the batteries in question.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Vertex Battery Passport and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

9. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to compliance with the UK GDPR and EU GDPR. By using the Service, you consent to our collection and use of data as described in our Privacy Policy. We act as a data processor for Client Data and as a data controller for account and usage data.

10. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Service. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, is independently developed by the receiving party, or is required to be disclosed by law or court order.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. We do not warrant that the Service meets specific regulatory requirements in any particular jurisdiction.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERTEX BATTERY PASSPORT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vertex Battery Passport and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to any use of the Service's content, services, and products other than as expressly authorised in these Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your subscription at any time through the account settings. Following termination, we will retain your data for 30 days before deletion, during which time you may export your data. Battery passport data may be retained longer where required by EU Regulation 2023/1542.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer located in the EU, you may also have rights under the laws of your country of residence.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
